Buying a Phuket Hotel Business: Separate the Property, Licence and Operator

A hotel acquisition is more than a building purchase. Reconcile the real estate, operating entity, approvals, contracts and liabilities before valuing the deal.

Short answer: a hotel sale may bundle real estate with a company, permits, staff, booking contracts and operating liabilities—or exclude some of them. Before valuing an acquisition, write down exactly what transfers and have Thai legal, accounting and property professionals verify each part. A hotel’s past revenue does not automatically transfer with the building.

Build a diligence file before agreeing a price

Separate land or condominium title, building and alteration approvals, hotel or accommodation permissions, operator contracts, employment obligations, tax filings, supplier debts, guest deposits, booking-platform accounts, insurance and maintenance records. Confirm who owns each asset, who is the registered operator and whether the seller has authority to transfer it. Reconcile reported bookings to bank receipts and refunds; review seasonality, channel commissions, owner use and future capital needs. Ask for original records, not only a sales deck.

If the buyer or operating company has foreign ownership, check whether the proposed business activity requires permission under current rules. Official Thai guidance explains that some activities fall under the Foreign Business Act; the Department of Business Development administers relevant applications. The specific licence and ownership analysis belongs to independent Thai counsel.

Start with our buying service, developer directory and district guides. Phuket Stay Pro can coordinate a document-led shortlist and property review; share the asset schedule, operating model and target closing date.

Fact check: licences, building use, employees, tax exposure, guest obligations, contracts and transfer conditions depend on the exact asset and date. Verify with current authorities and advisers before signing or assigning value to projected income.
